Gnok is in Limited Availability. While it is, section 2 applies: the Service is a preview provided as-is, with no uptime commitment; data may be deleted; and you must not store personal, confidential or regulated data. See Limited Availability.
These Terms of Service ("Terms") are an agreement between Gnok, Inc., a Delaware corporation ("Gnok", "we", "us"), and the organization or person that uses the Service ("Customer", "you"). The "Service" is the Gnok data platform: Gnok Studio, the Gnok sign-in, catalog and SQL services and their APIs, client connectivity, organization addresses on gnokdb.com, and the websites gnok.com, docs.gnok.com and their status page, including the earlier gnok.io addresses that redirect there. Gnok Mail (gnokmail.com) is covered by its own terms.
If you accept these Terms for an organization, you confirm that you are allowed to bind it, and "you" means that organization. If you don't agree, don't use the Service. These Terms include the Acceptable Use Policy and, when Gnok processes personal data for you, the Data Processing Addendum. The Privacy Policy describes how we handle personal information about you and your users.
1. Definitions
- Customer Data: the data you and your Users put into the Service, such as tables, files, queries, models, notebooks, worksheets and dashboards, and the results the Service produces from them.
- Users: the people you allow to use the Service under your organization, such as members and administrators.
- Usage Data: information about how the Service runs and is used, such as query timing and errors, resource and token usage, and sign-in events. It doesn't include the content of Customer Data.
- Order: the plan you choose in the Service or an order form you sign with Gnok.
- "Organization" means a workspace in the Service (the Service's user interface calls an Organization a "workspace").
- Trial, Trial Period, Trial Credits and Retention Period: as defined in section 4.
2. Limited Availability
While the Service is in Limited Availability, as shown on the Limited Availability page and in the Service, this section applies and takes precedence over anything else in these Terms that conflicts with it:
- The Service is a preview. It is provided "as is" and "as available", without warranties of any kind, express or implied, to the fullest extent the law allows.
- There is no service-level agreement or uptime commitment, and any operating targets we publish are informational (section 11). The Service may be slow, unavailable or interrupted at any time, and we may change, suspend or stop any part of it, or the whole preview, at any time.
- We may reset environments and delete data stored in the Service, including when the preview ends. We will try to give notice by email before a planned deletion, but we can't promise to. Keep your own copies of anything you need.
- Don't upload personal information about others, confidential business information, or regulated data (for example health, financial, payment-card or customer records). If you do, you are responsible for it.
- We review new organizations, may limit how many we accept, and may decline or remove organizations at our discretion.
Limited Availability ends when we say so on the Limited Availability page. We will also tell organization administrators by email.
3. Your account and your organization
- You must be at least 18 and able to enter into these Terms.
- Give accurate sign-up information and keep it current.
- Keep credentials secure, use a second factor where the Service asks for one, and tell us at security@gnok.com if you think an account has been compromised.
- Your administrators decide who becomes a User and what each User can access. You are responsible for your Users' use of the Service and for their compliance with these Terms.
4. Plans and the Trial
The Service has three plans: the Trial, Standard (self-serve, pay as you go) and Enterprise (by contract). There is no permanent free plan. Each plan's limits are shown in Gnok Studio under Operations → Plan & limits, and the Trial's on the Limited Availability page. When you reach a limit, new work of that kind is refused. We may change a plan's limits; we will give reasonable notice of a reduction where we can.
- Trial. A new organization starts on the Trial when we approve it. For 60 days (the "Trial Period") it may use the Service without charge up to US$400 of usage (the "Trial Credits"), measured at our Standard list prices for compute, notebooks, storage and AI. No payment method is required. Trial Credits have no cash value; they can't be refunded, transferred or exchanged, and they expire at the end of the Trial Period whether or not they have been used, including after an upgrade. The Trial is available once per organization. We may change the Trial Period, the Trial Credits and the Trial's limits for organizations whose Trial starts later; the current values are on the Limited Availability page.
- When the Trial ends. When the Trial Credits are used up or the Trial Period ends, whichever is first, compute stops: the organization's warehouses are suspended, and new queries, notebooks and AI requests are refused. Its data is kept for 30 days after the end of the Trial Period (the "Retention Period"), and upgrading to a paid plan during that time restores access. If the organization doesn't upgrade, we delete it and its data after the Retention Period as described in section 7. We tell the organization's administrators by email when the Trial ends and until when its data is kept.
- Standard and Enterprise. Both are usage-based: you pay for what you use, with compute billed by the second while a warehouse or notebook runs, storage per terabyte-month, and AI per million tokens. Standard is self-serve; Enterprise's prices, limits and other terms are set in a signed Order. We show you the prices, how usage is measured and the plan's limits before you subscribe, and section 5 applies once you do. Until online payment is available in the Service, you upgrade by contacting support@gnok.com.
5. Fees, billing and taxes (paid plans)
This section applies once you subscribe to a paid plan (Standard or Enterprise).
- Price. You pay the fees for the plan in your Order. We will show you the price before you are charged.
- Billing. Usage-based fees are billed in arrears for the period in which the usage happened, after any Trial Credits that still apply. Subscription fees, if your Order has them, are billed in advance for each billing period (monthly or yearly, as you choose). You authorize us and our payment processor to charge your payment method for fees when they are due. We don't store full payment-card numbers.
- Automatic renewal. Subscriptions renew automatically for the same billing period until you cancel. You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep the paid plan until then.
- Price changes. We will tell you about a price increase by email at least 30 days before it applies. It applies from your next renewal, and you can cancel before then.
- Refunds. Fees are non-refundable, except where the law requires a refund, or where we end your paid plan for a reason other than your breach of these Terms, or you end it because of our material breach that we didn't fix within 30 days of your notice. In those cases we refund the prepaid fees for the unused part of the billing period.
- Taxes. Fees don't include taxes. You pay any sales, use, value-added, goods and services or similar taxes on them, other than taxes on our income. Where the law requires us to collect a tax, we add it to your invoice.
- Failed payments. If a payment fails, we will tell you. If it is still unpaid 15 days after that notice, we may stop compute for your organization, as at the end of a Trial, until it is paid.
- When a paid plan ends. When your subscription ends, for example because you cancel it, compute stops as it does at the end of a Trial: warehouses are suspended, and new queries, notebooks and AI requests are refused. We don't delete data because a subscription ends, but we keep it only for a Retention Period of 30 days after the end. Subscribing again during that time restores access; otherwise we delete the organization as described in section 7.
- Billing questions. Tell us at support@gnok.com within 60 days of a charge you dispute, and we will work with you in good faith to resolve it.
6. Your data
You keep all rights to Customer Data. You give Gnok a limited permission to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service for you, to prevent abuse, and as the law requires. That includes sending Customer Data to our AI providers when your Users use AI features (section 9). We don't sell Customer Data.
You are responsible for having the rights to the Customer Data you upload, for its lawfulness, and for the access your administrators grant. We may use Usage Data to operate, secure and improve the Service, and we may share it only in aggregated or de-identified form that doesn't identify you or your Users.
7. Exporting and deleting your data
- Export. While your organization is active, you can export Customer Data at any time: download query results as CSV or JSON in Gnok Studio (including complete results with Export all), save dashboard definitions, and copy worksheets and notebook code. See Exporting your data.
- Deletion on request. An administrator can ask us to delete the organization by emailing support@gnok.com. Sign-in stops right away. We keep the organization for 7 days in case the request was a mistake, then delete its data from the Service. Copies in database backups and earlier versions of files expire within 30 days after that.
- Deletion after a Trial or subscription ends. When a Retention Period (sections 4 and 5) ends without an upgrade or a new subscription, we delete the organization in the same way: sign-in stops, we keep the organization for 7 days, then delete its data, and copies in database backups and earlier versions of files expire within 30 days after that.
- What we keep. After deletion we keep a minimal record that the organization existed (its name and identifiers, and when and why it was deleted), so the name stays reserved and the request is documented, and anything the law requires us to keep, such as billing records.
- When we end the Service. Outside Limited Availability, if we stop the Service or end your access for a reason other than your breach of these Terms, we will give you at least 30 days' notice to export your data first.
8. Acceptable use and suspension
You and your Users must follow the Acceptable Use Policy. We may suspend access to the Service, or to part of it, if we reasonably believe it is needed to stop a breach of these Terms or the Acceptable Use Policy, a security risk, harm to the Service or to others, or to comply with the law. We will tell you, before suspending where we reasonably can, and restore access once the cause is resolved.
9. AI features
- Language-model features (AI functions, ASK and AI help in Gnok Studio) are off until your organization has a monthly token budget and an administrator enables them in AI Governance. When they run, Gnok sends the prompt and the data it references to Anthropic.
EMBED(), which turns text into vectors for search, works within your organization's monthly embedding allowance without AI Governance. When you call it, Gnok sends that text to OpenAI.- AI output can be wrong, incomplete or inappropriate. Check it before you rely on it. You are responsible for how you use it.
- If you register a remote model or connect another outside service, the Service sends data to the endpoint you configure. You are responsible for that endpoint and its terms.
10. Security and security incidents
We protect the Service and Customer Data with reasonable administrative, technical and physical safeguards, described on our Security page and in the Data Processing Addendum. Gnok doesn't hold security or compliance certifications (such as SOC 2 or ISO 27001).
If we confirm a security incident that led to unauthorized access to, or loss, alteration or disclosure of, your Customer Data, we will notify your organization's administrators by email without undue delay, and within 72 hours after we confirm it. We will tell you what we know, what we are doing about it, and how to reach us, and we will update you as we learn more.
11. Availability and support
- There is no service-level agreement or uptime commitment. Any service-level commitment would have to be in a written Order signed by Gnok. The operating targets and availability figures we publish on our status pages (status.gnok.com and gnok.com/status) are informational: they describe what our own checks measure, and they are not a commitment, a warranty or a service-level agreement.
- Current health is on the status page. Maintenance may interrupt the Service; we will try to announce planned maintenance in advance.
- Support is by email at support@gnok.com, on a best-effort basis, without a guaranteed response time.
12. Changes to the Service
We may add, change or remove features. Outside Limited Availability, if a change materially reduces the core functionality of a paid plan during a paid billing period, we will tell you in advance, and you may cancel and get a refund of the prepaid fees for the unused part of that period.
13. Confidentiality
Each party will protect the other's non-public information that it receives in connection with the Service with at least reasonable care, use it only for the purposes of these Terms, and disclose it only to people who need it for those purposes and are bound to protect it, or as the law requires. Customer Data is your confidential information.
14. Ownership and feedback
Gnok and its licensors own the Service, including its software, documentation and trademarks. These Terms don't give you any rights in them other than the right to use the Service under these Terms. If you send us feedback or suggestions, we may use them without any obligation to you.
15. Disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and Gnok disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, to the fullest extent the law allows. Results from SQL, models and AI features may be wrong; check anything you rely on.
16. Indemnity
You will defend Gnok, Inc. against third-party claims arising from Customer Data or from use of the Service in breach of these Terms or the Acceptable Use Policy, and pay the damages, costs and reasonable legal fees finally awarded or agreed in settlement of those claims. We will tell you promptly about the claim, let you control its defense, and reasonably cooperate.
17. Limitation of liability
To the fullest extent the law allows: neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from the Service or these Terms; and each party's total liability arising from the Service or these Terms will not exceed the greater of (a) the amounts you paid Gnok for the Service in the 12 months before the event that gave rise to the liability and (b) US$100. These limits don't apply to your obligation to pay fees, to your obligations under section 16, or to liability that the law doesn't allow to be limited. Some jurisdictions don't allow these limits, so they may not apply to you.
18. Term and termination
- These Terms apply for as long as you use the Service.
- You can stop using the Service at any time, cancel a paid plan as described in section 5, and ask us to delete your organization as described in section 7.
- We may end a Trial at any time; outside Limited Availability we will give you at least 30 days' notice. Either party may end these Terms if the other materially breaches them and doesn't fix the breach within 30 days of notice. We may end your access immediately for a serious breach of the Acceptable Use Policy or where the law requires it.
- When these Terms end, your access ends and your data is handled as described in section 7. Sections 1, 6, 7, 13 to 17, 19 and 21 continue to apply, as does any obligation to pay fees already due.
19. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Before starting a court case, each party will first try to resolve the dispute informally for 30 days after notice. Disputes will be resolved exclusively in the state or federal courts located in Delaware, and you and Gnok consent to their jurisdiction. Either party may seek urgent injunctive relief in any competent court.
20. Export and sanctions
The Service is operated from the United States and stores data there. You must comply with US export control and sanctions laws. You may not use the Service if you are located in a country subject to a comprehensive US embargo, or are on a US government list of restricted parties.
21. General
- Changes to these Terms. We may update these Terms. We will post the new version here with a new version number and archive the previous one. For material changes, we will tell organization administrators by email or in the Service at least 15 days before the change takes effect, unless the change is required by law or responds to a security or abuse risk. If you keep using the Service after a change takes effect, you accept it; if you don't agree, stop using the Service, and for a paid plan you may cancel and get a refund of the prepaid fees for the unused part of the billing period.
- Notices. We send notices to the email addresses of your organization's administrators, or show them in the Service. Send notices to us at support@gnok.com.
- Assignment. You may not assign these Terms without our consent, except to a successor of your whole business. We may assign them to an affiliate or to a successor in a merger, acquisition or sale of assets.
- Order of precedence. If documents conflict: a signed Order prevails over these Terms; the Data Processing Addendum prevails for the processing of personal data; and these Terms prevail over the Acceptable Use Policy and the documentation.
- Other terms. These Terms are the entire agreement about the Service and replace earlier agreements about it. Neither party is liable for delays caused by events beyond its reasonable control. If a provision is unenforceable, the rest still applies. Not enforcing a provision isn't a waiver. The parties are independent contractors, and there are no third-party beneficiaries.
